Terms of Service

1. The agreement

These terms are an agreement between you and HeadhuntEZ, Inc. ("HeadhuntEZ", "we", "us"). If you use HeadhuntEZ for a company, you agree for that company and confirm you have the authority to do so; "you" then means the company. If you have signed an order form or other agreement with us, it controls where it differs from these terms.

2. The service

HeadhuntEZ analyzes roles and recommends whether the work needs a person, an AI agent, or both. It can also identify candidates, contact them on your behalf, answer their questions by phone, and book meetings.

The sample verdicts on our website are illustrations. Their figures are not research about your company or a forecast for any role.

Ask HeadhuntEZ, the role check on our website, is free. It reads the work you describe, not your company, and its report is general information to help you think about a role: not professional, legal or employment advice, and not a guarantee about any tool or outcome. One email address may run two checks in 24 hours.

3. Accounts

HeadhuntEZ is for business use. You must be at least 18, give us accurate information, and keep your sign-in details secure. You are responsible for what happens under your account and must tell us promptly about any unauthorized use.

4. Your responsibilities

You decide who to contact, interview and hire. You agree to:

• review outreach before you approve it, and use HeadhuntEZ in line with the laws that apply to you, including employment, anti-discrimination, privacy, anti-spam and telemarketing laws;
• not rely on a recommendation from HeadhuntEZ as the only basis for a decision about a person;
• honor opt-out requests and the instructions candidates give you;
• have the right to share any information you give us, and give any notices it requires.

HeadhuntEZ is not a consumer reporting agency, and the service does not provide consumer reports or background checks. You will not use it to obtain them.

5. Acceptable use

You will not:

• use HeadhuntEZ to harass anyone, or to send unlawful, deceptive or unwanted messages;
• copy, resell, reverse engineer or scrape the service, or use it to build a competing product;
• interfere with the service or its security, or upload malicious code;
• submit requests to Ask HeadhuntEZ by automated means, or submit content that is unlawful, abusive or meant to manipulate its analysis;
• use the service in a way that breaks the law or anyone else's rights.

We may suspend access that breaks these rules or puts others at risk.

6. AI output

HeadhuntEZ uses AI to produce recommendations, drafts and summaries. They can be incomplete or wrong. Review them before you rely on them. They are not legal, employment, tax or financial advice.

7. Fees

Fees, billing periods and plans are set out in your order form or in the platform. Unless stated otherwise, fees are billed in advance, exclude taxes, and are not refundable, except where the law requires.

8. Your data

You keep ownership of the information you put into HeadhuntEZ. You give us permission to use it to provide, secure and improve the service, and we may use it in aggregated or de-identified form. Our Privacy Policy explains how we handle personal information, and a data processing agreement is available on request.

9. Our property

HeadhuntEZ, including its software, models, content and brand, belongs to us and our licensors. These terms give you the right to use it while they are in effect, and no other rights. If you send us feedback, we may use it freely.

10. Confidentiality

Each of us will protect the other's non-public information with reasonable care, use it only for this agreement, and share it only with people who need it and are bound to keep it confidential.

11. Third-party services

HeadhuntEZ can connect to services you use, such as calendars, email and applicant tracking systems. Your use of those services is governed by their own terms, and we are not responsible for them.

12. Disclaimers

HeadhuntEZ is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise that the service will be uninterrupted or error-free, or that any recommendation will lead to a particular result.

13. Limitation of liability

To the extent the law allows, neither of us is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue. Our total liability under these terms is limited to the fees you paid us in the 12 months before the claim.

14. Indemnity

You will defend and indemnify HeadhuntEZ against third-party claims that arise from your data, your outreach, your hiring decisions, or your breach of these terms or of the law.

15. Term and termination

These terms apply while you use HeadhuntEZ. You may stop at any time. We may suspend or end your access if you break these terms or if the law requires it. The sections that by their nature should survive, including those on data, property, confidentiality, disclaimers, liability and indemnity, survive the end of this agreement.

16. Governing law

These terms are governed by the laws of the State of [State], without regard to its conflict of laws rules. Any dispute will be heard in the state or federal courts located in [county, State], and each of us consents to their jurisdiction.

17. Changes

We may update these terms. We will change the date above when we do and tell customers about material changes before they take effect. Continuing to use HeadhuntEZ after that means you accept the updated terms.
